Terms of Service

Last updated: 29 August 2026

These terms

These terms govern your use of this website and, where a separate written agreement does not say otherwise, the services Breston Digital Ltd provides. Where a signed proposal, statement of work or master services agreement exists, that document takes precedence over these terms to the extent of any conflict.

Services

Scope, deliverables, timescales and fees are set out in the proposal or statement of work agreed with you. We will perform the services with reasonable care and skill. Where a deliverable depends on your input — access, approvals, content, decisions — timescales assume that input arrives when agreed.

Fees and payment

Fees are as stated in your proposal and exclude VAT unless expressly stated. Retainers are invoiced monthly in advance; project work is invoiced against agreed milestones. Payment terms are 14 days from invoice date unless agreed otherwise. Late payment may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

Term and cancellation

Retainers run on a rolling monthly basis and may be cancelled by either party on 30 days written notice. Project work may be cancelled at any time; fees for work completed to the date of cancellation remain payable. Third-party costs already committed on your behalf are not refundable.

Intellectual property

On full payment, ownership of deliverables created specifically for you transfers to you. We retain ownership of our pre-existing methods, templates, frameworks and tools, and grant you a licence to use them as embedded in your deliverables. We may reference the engagement in our portfolio unless you ask us in writing not to.

What we do not promise

Digital marketing results depend on factors outside our control, including search engine algorithms, platform policies, competitor activity and market conditions. We do not guarantee specific rankings, traffic volumes, conversion rates or revenue. We do commit to a defined scope of work, transparent reporting and honest advice about what is and is not working.

Your responsibilities

You confirm that content and data you supply is accurate, that you hold the necessary rights to it, and that any marketing list you ask us to use was collected with valid consent. You remain the data controller for your customer data; we act as processor under a separate data processing agreement.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability in connection with the services is limited to the fees paid by you in the 12 months preceding the claim, and we are not liable for indirect or consequential loss, loss of profit, revenue, data or anticipated savings.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
